1. Acceptance of Terms

By accessing or using StemX, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the service. We reserve the right to modify these terms at any time, with notice provided via email or on our website.

2. Service Description

StemX is an AI-powered audio stem separation service that allows users to extract individual audio components (vocals, drums, bass, etc.) from audio files. The service is provided on a credit-based system with subscription plans.

3. Account Registration

To use StemX, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Not share your account with others
• Notify us immediately of any unauthorized access
• Be at least 18 years old or have parental consent

4. User Responsibilities

By using StemX, you guarantee that you own or have obtained all necessary rights, licenses, and permissions for the audio files you upload. You are solely responsible for the content processed. You agree not to:

• Upload content that infringes copyright or intellectual property rights
• Use the service for any illegal purposes
• Attempt to circumvent usage limits or credit systems
• Reverse engineer or attempt to extract the AI models
• Use automated scripts to access the service without authorization
• Upload malicious files or attempt to compromise our systems

5. Credit System

The service operates on a credit-based system where 1 credit equals 1 minute of processed audio. Credits are provided through:

• Free Plan: 5 credits per month (non-cumulative)
• Pro Plan: 80 credits per month
• Creator Plan: 150 credits per month
• Pro+ Plan: 250 credits per month

Unused credits from monthly allowances do not roll over to the next billing period unless otherwise specified in your subscription plan.

6. Service Limitations

StemX provides a technical tool "as is". We do not guarantee:

• Studio-quality results for every file
• Total absence of audio artifacts or bleeding
• Commercial exploitability of the results
• 100% uptime or uninterrupted service availability
• Compatibility with all audio formats or sources

Separation quality depends heavily on the quality, complexity, and mixing of the source file.

7. Intellectual Property

Your Content: You retain full ownership of your uploaded files and the generated stems. StemX claims no rights over your source audio or the output files. We do not use your content to train AI models.

Our Service: The StemX platform, including its design, features, AI models, and technology, remains our exclusive property and is protected by intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law, StemX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or content
• Business interruption
• Unsatisfactory processing results

Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Account Termination

By You: You may delete your account at any time from your account settings. All associated metadata will be removed. Remaining credits and active subscription time are forfeited upon deletion.

By Us: We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or abuse the service. We will provide notice except in cases of severe violations.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Paris, France.

These Terms of Sale govern all purchases made on StemX, including subscription plans and any additional credit packages. By making a purchase, you accept these terms in full.

2. Subscription Plans & Pricing

StemX offers the following subscription plans:

All prices are in Euros (€) and include applicable taxes (VAT). Prices are subject to change with 30 days notice to existing subscribers.

3. Payment Methods

Payments are processed securely through Stripe. We accept:

• Credit and debit cards (Visa, Mastercard, American Express)
• Other payment methods available through Stripe in your region

Your payment information is transmitted securely and we never store your full card details.

4. Subscription Billing

Billing Cycle: Subscriptions are billed in advance on a recurring basis (monthly or yearly) from the date of initial purchase.

Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current price for your plan.

Failed Payments: If payment fails, we will retry and notify you. After multiple failures, your subscription may be suspended or downgraded to the Free plan.

5. Plan Changes

Upgrades: When upgrading to a higher plan, you will be charged a prorated amount for the remainder of your current billing period. New credits are added immediately.

Downgrades: When downgrading to a lower plan, the change takes effect at the end of your current billing period. You retain access to your current plan until then.

6. Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

• You retain access to your paid features until the end of the current billing period
• No further charges will be made
• Your account will revert to the Free plan after the period ends
• Unused credits will be lost at the end of the billing period

You may reactivate your subscription before the billing period ends to continue uninterrupted service.

7. Refund Policy

14-Day Right of Withdrawal (EU): Under EU consumer protection laws, you have 14 days from purchase to request a full refund if you have not used the service. Once you begin processing audio files, you waive this right as the service has been provided.

General Policy: Due to the immediate nature of digital services and GPU processing costs:

• Credits used for processing are non-refundable
• We cannot offer refunds for unsatisfactory results due to source file quality
• Refunds for technical issues will be evaluated on a case-by-case basis

To request a refund, contact us at contact@stemx.fr with your account details and reason for the request. Refunds are processed within 14 business days.

8. Free Plan

The Free plan provides 5 credits as a one-time allowance at no cost, allowing users to test the service. No payment information is required for the Free plan. Free credits are granted once upon account creation and do not reset or accumulate.

9. Taxes

All prices include applicable Value Added Tax (VAT) for EU customers. For customers outside the EU, you may be responsible for any local taxes or duties. VAT invoices are provided for all purchases and available in your account.

10. Invoicing

An invoice/receipt is automatically generated and sent to your registered email address after each successful payment. You can also access your billing history and download invoices from your account settings.

11. Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the service. For significant changes affecting paid subscribers, we will provide at least 30 days notice. If we discontinue a paid feature without replacement, affected subscribers may be entitled to a prorated refund.

12. Disputes

For billing disputes or issues, please contact us at contact@stemx.fr before initiating a chargeback with your bank. We are committed to resolving issues fairly and promptly. Unauthorized chargebacks may result in account suspension.

13. Consumer Rights

These Terms of Sale do not affect your statutory rights as a consumer under applicable local laws. EU consumers have additional protections under the Consumer Rights Directive.
